Terms and Conditions

1. Services

• Lotus Media (“Provider”) offers marketing services, and campaigns (collectively, the “Services”). In case of any conflicts between these Terms and those discussed elsewhere, these Terms will take precedence.
• The Services may involve collaboration with third-party vendors or partners. Customers are responsible for implementing any recommendations or code changes provided by the Provider.

2. Authorization

• Customers grant Provider the authority to act on their behalf, which includes ordering services from third parties, and they agree to comply with Provider’s reasonable requests to facilitate the Services.

3. Third Party Service

• Provider is not accountable for the actions or policies of third-party digital marketing networks, which may affect the provision of the Services.

4. Access

• Customers must provide access to systems, resources, or content necessary for the Provider to fulfil its obligations.

5. Fees

• Account management fees are billed quarterly and are nonrefundable.
• Any one-time technology fee may apply.
• The Advertising Budget may be adjusted on a monthly basis during the Term, and any unused funds carry over.

6. Payment Terms

• Payment is due within 30 days of the invoice date.
• Overdue payments may lead to service suspension.
• Customers are responsible for applicable taxes, excluding the Provider’s income taxes.

7. Term of Agreement

• The Agreement remains in effect for the specified Term, automatically renewing for an equal Term unless terminated.

8. Termination

• Either party can terminate the Agreement with a 30-day notice before the Term concludes.
• Breach of the Agreement may lead to termination.
• Services may be suspended during a breach.
• Provider may terminate under specific circumstances.

9. Survival

• Provisions surviving termination continue to bind the Parties.
